Executive pay stacks base salary, annual bonus on cash metrics and multi-year equity grants that typically form the large majority of the total.
Overview
A typical large-company CEO package: base around 1 to 2 million, an annual bonus targeting 150 to 300 percent of salary on earnings or strategic goals, and long-term incentives, stock options, restricted shares and performance units, usually vesting over three years and dwarfing the cash. US tax history shaped the mix, with a deduction cap on performance-unrelated pay. SEC rules added pay-versus-performance disclosure and clawback standards in 2022. The design intent is alignment; the observed result, ratcheting peer benchmarks, is the perennial critique.
